Internal validation for the needs of the owner – fairness opinion.
What challenge/ problem did the client come with?
The customer needed to validate the correctness of the repurchase price of shares in the tender offer prepared by the management board of his company.
What actions have we proposed and carried out?
For our client, we prepared a fairness opinion regarding the appropriateness of the share buy-back price proposed by the management board in the tender offer. This opinion was based on the assessment of the assumptions made by the customer management in determining the price applying them to the financial model built and based on market data and verification, if the model valuation corresponds to the price proposed by the management board.
